Terms of Service

Please read these terms carefully. They govern your use of Ticket Spot and explain your rights and obligations.

These Terms of Service ("Terms") govern your access to and use of the Ticket Spot platform, including our websites, applications, APIs, and related services (collectively, the "Services").

By creating an account, purchasing tickets, creating events, connecting payment processors, or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.


1. About Ticket Spot

Ticket Spot is operated by Architect Spot LLC ("Ticket Spot", "we", "us", or "our").

2. Nature of the Services

Ticket Spot provides software that enables users to create, manage, promote, discover, and sell tickets for events.

Unless expressly stated otherwise:

  • Ticket Spot is not the organizer, promoter, venue operator, sponsor, or host of events.
  • Ticket Spot is not the merchant of record for organizer transactions.
  • Ticket Spot is not a bank, money transmitter, or payment processor.
  • Ticket Spot does not guarantee the quality, safety, legality, or fulfillment of any event.

The contractual relationship relating to an event exists solely between the applicable organizer and the attendee.


3. Eligibility

You must be at least eighteen (18) years old to use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


4. Accounts

You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activities occurring under your account.

You agree to notify Ticket Spot immediately of any unauthorized use of your account.

Ticket Spot may suspend or terminate accounts that we reasonably believe have been compromised.


5. Organizers

Users who create, publish, manage, promote, or sell tickets for events are considered Organizers.

By creating an event, publishing an event, or connecting a payment processor, Organizers agree to the Organizer obligations contained in these Terms.

Organizers are solely responsible for:

  • the accuracy of event information;
  • event fulfillment;
  • obtaining permits and licenses;
  • compliance with applicable laws;
  • attendee communications;
  • attendee support;
  • attendee safety;
  • setting refund policies;
  • issuing refunds;
  • collecting and remitting taxes where applicable.

Organizers must respond to attendee inquiries within a reasonable timeframe.


6. Attendees

Attendees agree to comply with organizer policies and venue rules.

Organizers may deny admission where permitted by applicable law.

Unless otherwise required by law or the organizer's refund policy, ticket purchases are final.

Ticket transfers may only occur through mechanisms made available by Ticket Spot or expressly authorized by the organizer.

Unauthorized resale of tickets is prohibited.


7. Marketplace Owners

Users operating marketplaces that approve or curate events are considered Marketplace Owners.

Marketplace Owners agree to exercise reasonable care when reviewing events submitted to their marketplaces.

Marketplace Owners must comply with these Terms.

Ticket Spot reserves the right to remove marketplace content or suspend marketplace functionality that violates these Terms.


8. Payment Processors

Ticket Spot integrates with third-party payment processors including Stripe, PayPal, and Square.

Organizers establish direct relationships with such processors and are subject to the processors' terms and policies.

Ticket Spot is not responsible for:

  • processor outages;
  • delayed payouts;
  • frozen funds;
  • payment processor fees;
  • payment processor disputes;
  • processor errors;
  • processor decisions relating to risk, fraud, reserves, or account closures.

9. Merchant of Record

Where organizers utilize their own connected payment accounts, the organizer is the merchant of record for transactions processed through those accounts.

Organizers are solely responsible for:

  • chargebacks;
  • refunds;
  • payment disputes;
  • taxes;
  • regulatory compliance;
  • financial obligations associated with their events.

10. Refunds

Refund policies are established by organizers.

Attendees should contact organizers directly regarding refunds.

Ticket Spot does not guarantee refunds.

Ticket Spot may, but is not obligated to, assist in facilitating communications between organizers and attendees regarding disputes.


11. Chargebacks and Payment Disputes

Organizers are solely responsible for all chargebacks, reversals, payment disputes, fines, fees, penalties, and related liabilities arising from their events.

Ticket Spot reserves the right to cooperate with payment processors and law enforcement agencies in investigating disputes.


12. Prohibited Activities

You may not:

  • violate applicable laws;
  • infringe intellectual property rights;
  • engage in fraudulent activity;
  • upload malware;
  • interfere with the Services;
  • impersonate others;
  • scrape the Services without authorization;
  • misuse Ticket Spot branding;
  • use the Services to promote illegal activities.

13. Ticket Spot Branding Restrictions

Organizers may not use:

  • Ticket Spot,
  • TicketSpot,
  • Architect Spot,

or confusingly similar names in payment descriptors, business profiles, support information, advertising, or customer communications without Ticket Spot's prior written consent.

Ticket Spot reserves the right to immediately suspend accounts violating this provision.


14. Content

Users retain ownership of content they submit.

Users grant Ticket Spot a non-exclusive, worldwide, royalty-free license to host, reproduce, distribute, and display submitted content solely as necessary to provide the Services.

Users represent that they possess all rights necessary to publish submitted content.


15. Intellectual Property

Ticket Spot and its related trademarks, logos, software, content, and technology are owned by Architect Spot LLC or its licensors.

Except as expressly authorized, no rights are granted to users.


16. No Duty to Monitor

Ticket Spot has no obligation to monitor organizers, events, content, or user conduct.

Ticket Spot reserves the right, but not the obligation, to investigate and take action relating to violations of these Terms.

Failure to monitor or act shall not create liability for Ticket Spot.


17. No Agency

Nothing in these Terms creates any partnership, joint venture, employment, agency, fiduciary, or franchise relationship between Ticket Spot and any organizer, attendee, marketplace owner, or user.

Organizers act independently and are solely responsible for their activities.


18. Suspension and Termination

Ticket Spot may suspend, restrict, remove, or terminate access to the Services where we reasonably determine that a user:

  • violates these Terms;
  • engages in fraudulent conduct;
  • creates legal risk;
  • creates financial risk;
  • creates regulatory risk;
  • creates reputational risk;
  • misuses Ticket Spot branding;
  • generates excessive chargebacks;
  • generates excessive consumer complaints.

Suspension may occur without prior notice.


19. Privacy

Our collection and use of personal information is governed by our Privacy Policy.

By using the Services, you consent to such processing.


20. Third-Party Services

The Services may integrate with third-party services.

Ticket Spot is not responsible for third-party services, websites, or content.

Your use of such services is governed by their applicable terms.


21. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKET SPOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

TICKET SPOT DOES NOT GUARANTEE:

  • uninterrupted availability;
  • error-free operation;
  • event quality;
  • event safety;
  • organizer conduct;
  • organizer compliance;
  • event fulfillment.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

TICKET SPOT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

TICKET SPOT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY THE CLAIMANT TO TICKET SPOT DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability where such limitation is prohibited by law.


23. Indemnification

Organizers agree to defend, indemnify, and hold harmless Ticket Spot, Architect Spot LLC, and their affiliates, officers, employees, and agents from claims, liabilities, losses, damages, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising from:

  • organizer events;
  • organizer conduct;
  • attendee claims;
  • organizer breach of these Terms;
  • infringement of third-party rights;
  • violation of applicable laws.

24. Claim Limitation Period

Any claim arising from or relating to the Services must be brought within one (1) year after the events giving rise to the claim occurred.

Claims not brought within such period are permanently barred.


25. Changes to the Services

Ticket Spot may modify, suspend, discontinue, or update the Services at any time.

Ticket Spot may update these Terms periodically.

Continued use of the Services following updates constitutes acceptance of the revised Terms.


26. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.


27. Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association.

Arbitration shall occur in San Diego County, California.

Users waive any right to a jury trial.


28. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY.

CLASS ACTIONS AND REPRESENTATIVE PROCEEDINGS ARE NOT PERMITTED.


29. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.


30. Assignment

Ticket Spot may assign these Terms in connection with a merger, acquisition, sale of assets, or corporate reorganization.

Users may not assign these Terms without Ticket Spot's prior written consent.


31. Entire Agreement

These Terms, together with any incorporated policies, constitute the entire agreement between users and Ticket Spot regarding the Services.
